These Terms of Use are established to govern access to, visitation of, and use of our platform https://teqid.org/ (which operates as a Site and/or an Application) provided by TeQatlas GmbH, a company registered at Langfurenstrasse 6, 8143 Stallikon, Canton of Zürich under the UID CHE-271.658.645, (hereinafter referred to as “We”, “Our”, “Ours”, “Us”, or the “Company”).
This Terms of Use regulates relations between You, as the user of the TeqID, and Us during Your use or visit to Our TeqID Site and/or Application, please read carefully to be informed duly, because this Terms of Use:
(a) outline Your legal rights in relation to TeqID;
(b) explain the rights You grant to Us when using TeqID;
(c) describe the rules applicable to the use of TeqID.
Please read the Terms of Use carefully before You start to use the TeqID available on the Site and/or Application. By accepting or agreeing to the Terms of Use when this option is made available to You, You accept and agree, on behalf of yourself to be bound and abide by these Terms of Use and our Privacy Policy. If You do not want to agree to these Terms of Use or the Privacy Policy, You must not access or use TeqID, but please, contact us by email below firstly, so we may resolve this issue.

1. Definitions
“Site” – shall mean a collection of web pages accessible on the Internet, linked by content and navigation under the single domain name https://teqid.org/, providing access to the TeqID platform and its functionality.
“Application” - shall means a mobile or web-based application developed and/or provided by the Company that collects and analyzes publicly available information from users’ professional online profiles for the purpose of automatically identifying, matching, and presenting users with relevant career opportunities, professional requests, collaboration offers, or job opportunities.
“User” - shall mean any individual, sole proprietor, or legal entity that uses the Company’s Site and/or Application, or any features, functionality, or services made available by the Company.
“Personal Account (Account)” - shall mean a personal user account created by a User during registration on the Site or within the Application, which enables the User to access and use the features, functionality, and services provided by the Company in accordance with these Terms of Use.
“Professional Information” shall mean professional contact information, links to professional profiles, employment information, professional experience, areas of expertise, industry affiliation, and other publicly available business-related information voluntarily provided by the User during the pre-registration (onboarding) process or in connection with the use of the Site and/or Application.
“AI Agent” shall mean a virtual assistant integrated into TeqID that operates using artificial intelligence technologies, including third-party machine learning models, and is designed to interact with Users via chat functionality, generate automated responses, and provide informational support in connection with the use of TeqID.
“AI Output” shall mean any content, responses, suggestions, or other outputs generated by the AI Agent.
“Personal Data” shall mean the certain information that identifies You as a specific individual or can be used to contact or identify You.
All definitions in this Terms of Use in singular shall apply to such words when used in plural where the context permits so and vice versa, and all references to gender shall include both genders and the neuter.
2. Introduction to TeqID
TeqID is an online platform designed to help Users identify and explore potential professional and business opportunities.
The platform enables Users to create Personal Accounts and provide information regarding their professional background, interests, industries, business objectives, and types of opportunities that may be relevant to them.
Based on the information provided by the User, TeqID may propose recommendations, suggest potential professional connections, introduction paths, relevant opportunities, notifications and other informational materials that may be useful for the User’s professional activities.
TeqID is solely a technology platform for exploring potential professional and business opportunities, TeqID is not a broker, agent, recruiter, investment adviser, intermediary, or representative of any User or third party and does not participate in negotiations, transactions, or legal relationships between Users and third parties.
TeqID does not endorse, recommend, approve, or certify any Users, organizations, contacts, opportunities, or third parties available through the platform.
TeqID does not verify, guarantee, or warrant:
the accuracy, completeness, or timeliness of information provided by Users or third parties;
the identity, reputation, qualifications, intentions, or good faith of any individuals or organizations;
the availability, quality, suitability, or accessibility of any opportunities, clients, partnerships, investments, introductions, or business relationships; or
the achievement of any specific result, income, agreement, collaboration, or other commercial or professional outcome resulting from the use of the platform.
Any recommendations, analytics, results, or information proposed by TeqID, including through automated systems or AI-powered functionality, are provided solely for informational purposes. The User is solely responsible for independently evaluating, verifying, and making decisions regarding any contacts, introductions, recommendations, or opportunities available through the platform.
TeqID is not designed to create hidden social graphs, monitor private interactions, or analyze non-public interpersonal relationships between individuals.
3. User Registration and Account Creation
In order to access and use the functionality of TeqID, the User must complete the registration process and create a Personal Account in accordance with these Terms of Use.
Registration may be initiated on the Site or in the Application. For the purpose of accessing TeqID functionality, the User may be required to complete a pre-registration process on the Site. Subsequent registration steps necessary to create an Account and obtain access to the functionality may be carried out on the Site and/or in the Application in accordance with the instructions provided by the Company.
The User is solely responsible for maintaining the confidentiality and security of access to their Account, as well as for all activities conducted through the Account or using any verification codes or other authentication methods.
Access to TeqID functionality may be provided on a paid subscription basis. The applicable fees, subscription terms, payment conditions, and scope of functionality available under the subscription are specified on the Site or otherwise communicated to the User prior to payment.
Following successful payment, the User is granted access to TeqID functionality in accordance with these Terms of Use.
To complete Account activation, the User must accept the following documents:

Acceptance of these documents is mandatory. Without such acceptance, the Company will not be able to activate the User’s Account or grant access to TeqID functionality.
The Company reserves the right to refuse registration, suspend, or terminate access to the Account in the event of a violation of these Terms of Use, applicable law, or in cases of suspected fraudulent, unauthorized, or suspicious activity.
The User represents and warrants that all information provided during registration or while using TeqID is accurate, current, and does not violate any third-party rights or applicable law
4. Provision of Professional Information by the User
TeqID is designed to process publicly available professional information used in a business and professional context. The Company does not intentionally collect or process private communications, passwords, credentials, non-public restricted information, or special categories of personal data. After creating an Account, the User may voluntarily provide the Company with Professional Information, including links to his professional profiles.
The User understands and agrees that the User’s Personal Data and Professional Information are processed by the Company solely to the extent necessary for Personal account registration, providing access to TeqID, ensuring its operation, and enabling the User to use the functionality of TeqID.
Processing of such data may be based on the legitimate interests of the Company and/or the User, including for purposes of operating a professional service and improving the relevance of recommendations and results available to the User.
In this regard, the Company takes into account that such processing primarily relates to professional or publicly available information used in a business context, does not involve the intentional processing of special categories of personal data, and is carried out in line with the reasonable expectations of individuals regarding the use of professional information within the context of professional and business communications.
5. Fees and Payment
Access to TeqID functionality may be provided on a paid basis in the form of a subscription in accordance with these Terms of Use.
Information about applicable fees, subscription terms, payment conditions, and the scope of available functionality is provided to the User on the Site or in the Application prior to payment.
Payment for access to TeqID functionality is made online via Stripe or another payment provider designated by the Company. To complete registration and obtain access to the functionality, the User must complete payment in accordance with the payment instructions provided on the Site or in the Application.
By making a payment, the User agrees to the terms, policies, and rules of the respective payment provider. The User is encouraged to review such terms prior to completing any transaction.
The Company does not store or process the User’s payment details directly and shall not be responsible for payment processing, including any errors, delays, or failed transactions caused by the payment provider.
Access to TeqID functionality is granted only after successful payment, unless otherwise specified on the Site or in the Application.
The Company reserves the right to modify fees, payment terms, and the scope of Paid Services at any time. Updated terms will be published on the Site or in the Application or otherwise communicated to the User prior to the next payment.
Continued use of paid functionality after such changes become effective constitutes the User’s acceptance of the updated fees and terms.
As a general rule, fees paid for access to TeqID functionality are non-refundable, except as otherwise required by applicable law.
If the User is a consumer residing in the European Union or the European Economic Area, the User may have a statutory right to withdraw from the contract within fourteen (14) days, unless, prior to the commencement of the provision of digital services, the User has expressly requested their immediate provision and acknowledged that, by doing so, the User loses the statutory right of withdrawal, in accordance with applicable law.
The User may also submit a refund request by contacting the Company using the contact details provided on the Site or in the Application. Any refund request that is not based on a statutory right shall be reviewed by the Company on a case-by-case basis.
6. Use of AI Agent and Chat Functionality
TeqID may provide the User with access to chat functionality that enables interaction with the AI Agent for the purpose of receiving general information, assistance, and support in relation to the use of the Site and/or Application.
The User acknowledges and agrees that the AI Agent operates on the basis of automated processing using artificial intelligence technologies, including third-party providers, and that all responses are generated without human involvement.
The AI Agent is provided solely for informational and facilitation purposes. Any responses, suggestions, or outputs generated by the AI Agent do not constitute legal, financial, investment, or other professional advice.
The User understands and agrees that responses generated by the AI Agent may be incomplete, inaccurate, outdated, or not relevant to the User’s specific circumstances. The User is solely responsible for evaluating the accuracy and usefulness of any such information.
The Company does not guarantee the accuracy, completeness, reliability, or usefulness of any content generated by the AI Agent, nor that such content will meet the User’s expectations or requirements.
To the maximum extent permitted by applicable law, the Company shall not be liable for any losses or damages arising out of or in connection with:
(a) reliance on any information provided by the AI Agent;
(b) any decisions made or actions taken by the User based on such information;
(c) the availability, interruption, or malfunction of the chat functionality.
The User agrees not to submit through the chat functionality any:
(a) personal data of third parties without a valid legal basis;
(b) confidential or sensitive information;
(c) content that is unlawful or infringes the rights of any third party.
The User acknowledges that the AI Agent may generate content that is similar or identical to content generated for other users.
The Company reserves the right to monitor, restrict, suspend, or terminate access to the chat functionality and/or the AI Agent at its sole discretion, including in cases of misuse or violation of these Terms of Use. By using the chat functionality, the User confirms acceptance of the use of artificial intelligence technologies as described in these Terms of Use.
The User acknowledges that any recommendations, opportunities, contacts, or AI-generated outputs available through TeqID should not be relied upon as the sole basis for making professional, business, financial, hiring, or commercial decisions.
7. Intellectual Property Rightsn
All intellectual property rights, including copyrights, database rights, trademarks, trade secrets, know-how, and any other proprietary rights in and to TeqID, the Site and/or the Application, including their structure, organization, design, software, source and object code, algorithms, analytical models, functionality, interface, user experience elements, databases, and any materials or outputs available through TeqID, are and shall remain the exclusive property of the Company or its licensors and are protected under applicable intellectual property laws and international treaties.
Nothing in these Terms of Use shall be interpreted as granting the User any ownership rights in TeqID, the Site, the Application, or any of their components. The User is granted only a limited, non-exclusive, revocable, non-transferable right to access and use TeqID strictly in accordance with these Terms of Use and solely for identifying and pursuing professional opportunities through the functionality supported by TeqID. The User retains all rights to the Personal data and other materials voluntarily provided by the User to TeqID, including Professional Information.
By providing TeqID with any data, information, or materials, the User grants the Company a non-exclusive, worldwide, royalty-free license, for the duration necessary to operate and improve TeqID, to access, use, process, structure, analyze, store, reproduce, and display such data solely for purposes of providing TeqID functionality in accordance with these Terms of Use and the Privacy Policy.
The User agrees not to copy, modify, decompile, disassemble, reverse engineer, attempt to extract source code, create derivative works, or otherwise attempt to derive or access the underlying technology, algorithms, or functionality of TeqID, except to the extent such restrictions are expressly prohibited by applicable law.
The User further agrees not to use any automated means, including bots, scripts, crawlers, scrapers, or other automated data collection technologies, to access, copy, collect, monitor, or otherwise interact with TeqID or any information available through TeqID without the Company’s prior written consent.
TeqID may contain references or links to third-party platforms or services. All trademarks, service marks, and other intellectual property rights related to such third-party platforms remain the property of their respective owners. The Company is not affiliated with, endorsed by, or sponsored by any third-party platforms or services unless expressly stated otherwise.
To the extent the User provides the Company with any ideas, suggestions, comments, recommendations, or requests relating to improvements of TeqID functionality (“Feedback”), the User grants the Company an unrestricted, irrevocable, royalty-free, worldwide right to use, modify, adapt, implement, and otherwise utilize such Feedback without limitation or obligation to compensate the User.
The Company reserves the right to suspend or terminate access to TeqID and to take appropriate legal action in the event of any actual or suspected infringement of intellectual property rights, violation of this section, or other unauthorized use of TeqID.
8. Third-Party Services and Technologies
To enable the functionality of TeqID, the Company may use third-party technology providers, cloud services, AI services, analytics tools, software solutions, infrastructure services, communication services, integrations, and other third-party technologies necessary for the operation of TeqID, the Site, and/or the Application.
Such third-party services may be used for purposes including hosting, data storage, information transmission, analytics, AI-powered functionality, communications, technical support, data synchronization, and other functions necessary for the operation of TeqID.
Within the scope of using such services, the Company may process information voluntarily provided by the User, as well as information to which the User grants access while using TeqID, solely to the extent necessary to provide TeqID functionality in accordance with these Terms of Use and the Privacy Policy.
Such third-party providers may act as data processors or sub-processors on behalf of the Company in accordance with applicable data protection laws.
The Company implements reasonable organizational, contractual, and technical measures to engage third-party providers that maintain an appropriate level of security and data protection in accordance with applicable laws.
The User understands and agrees that certain TeqID features or functionality may depend on third-party platforms, services, or technologies that are outside the Company’s reasonable control. As a result, the availability of certain TeqID features may change, become limited, or be discontinued.
The Company shall not be liable for any interruptions, delays, errors, loss of availability, or other consequences caused by the operation, unavailability, or modification of third-party services, platforms, or technologies to the extent such circumstances are outside the Company’s reasonable control.

9. TeqID usage terms
The Company reserves the right to remove any information, data, or materials provided, uploaded, or processed through TeqID, and to take any necessary technical or legal measures, including restricting, suspending, or terminating access to TeqID for Users who violate these Terms of Use, third-party rights, applicable laws, or negatively affect the operation of TeqID or other users.
If the User provides false, inaccurate, incomplete, or misleading information, the Company reserves the right to suspend or terminate the User’s access to TeqID.
The functionality of TeqID depends on the information and data voluntarily provided by the User, including Professional Information. The User understands and agrees that certain TeqID features may be unavailable, limited, or function improperly without the provision of relevant data.
The Company may at any time update, modify, limit, suspend, or discontinue certain TeqID features or functionality.
The right to use TeqID is granted to the User on the following basis:
limited — the User may use TeqID only in accordance with these Terms of Use;
non-exclusive — the Company may grant similar rights to other persons;
non-transferable — the User may not transfer their rights to access or use TeqID to any third party.
9.1. Usage Restrictions
The User agrees to use TeqID strictly in accordance with these Terms of Use and applicable laws.
The User shall not:
use TeqID for any unlawful purpose;
use TeqID in any manner that may damage, overload, disrupt, or negatively affect TeqID, the Company, other users, or third parties;
obtain or attempt to obtain access to any data, functionality, accounts, or systems not intentionally made available to the User;
use TeqID for fraud, deceptive practices, spam, unauthorized communications, or violations of third-party rights;
impersonate any person, organization, or third party representative, or use false or misleading information;
use TeqID to collect, process, or use data in violation of applicable laws;
use data obtained through TeqID for mass communications, unlawful marketing activities, or any activity that violates third-party rights or applicable laws.
9.2. Prohibited Data and Conduct
The User shall not provide, upload, transmit, or otherwise make available through TeqID any data or information that:
is unlawful or infringes third-party rights;
violates intellectual property rights, data protection rights, or other rights;
is false, inaccurate, or misleading;
is provided without appropriate legal grounds or authorization;
creates risks to the privacy, security, or rights of any person or entity;
may cause harm to the Company, TeqID, other users, or third parties.
The Company reserves the right, without liability, to restrict, suspend, or terminate access to TeqID if such data or conduct is identified.
9.3. Prohibited Interference and Unauthorized Access
The User shall not:
copy, modify, or create derivative works based on TeqID;
reproduce, distribute, or otherwise use any part of TeqID without the Company’s authorization;
attempt to access or derive the source code, algorithms, models, or underlying logic of TeqID;
reverse engineer, decompile, or disassemble TeqID;
obtain or attempt to obtain unauthorized access to accounts, systems, data, or infrastructure;
test vulnerabilities, bypass security measures, or interfere with the operation of TeqID;
use bots, crawlers, scrapers, or other automated means to access or collect data from TeqID;
use TeqID to create, support, or develop a competing product or service;
use or process data obtained through TeqID in violation of applicable laws.
9.4. Account Security
The User agrees to take all reasonable measures to prevent unauthorized access to the Personal Account and TeqID, including maintaining the confidentiality of access to the User’s email account, verification codes, and other authentication methods. The User is solely responsible for all activities conducted through the Personal Account.
The User shall immediately notify the Company of any unauthorized access, suspected security breach, loss of access to the User’s email account, or any other incident related to Account security, and agrees to cooperate with the Company in investigating and resolving such incidents.
10. Limitation of Liability
To the maximum extent permitted by applicable law, the Company, its affiliates, officers, directors, employees, contractors, and partners shall not be liable for any damages arising out of or in connection with the use of, or inability to use, TeqID.
TeqID is provided on an “as is” and “as available” basis. The Company makes no warranties, express or implied, regarding the operation of TeqID, including any warranties of merchantability, fitness for a particular purpose, or non-infringement.
TeqID provides informational and analytical tools only. The Company does not guarantee:
any professional, business, or commercial outcomes;
successful connections, introductions, or opportunities;
the accuracy, completeness, or reliability of any data,including Professional Information.
The Company shall not be liable for:
any decisions or actions taken by the User based on information provided through TeqID;
acts or omissions of third parties;
any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill.
TeqID is not obligated to monitor, review, moderate, screen, or verify any information uploaded, transmitted, or shared by Users through the platform.
Information obtained from third-party sources or platforms may be incomplete, inaccurate, outdated, or unavailable, and TeqID shall not be responsible for the content, accuracy, or reliability of such information.
The User is solely responsible for any communications, outreach, interactions, or actions taken based on information or recommendations obtained through the platform.
TeqID does not guarantee that any recommendations, results, or materials generated through automated systems or AI-powered functionality will be accurate, complete, reliable, or suitable for achieving any particular purpose or objective of the User.
Information and materials available through the platform do not constitute legal, financial, investment, tax, employment, or other professional advice and shall not be relied upon as a recommendation to enter into any transaction or business relationship.
By using TeqID, the User acknowledges and agrees that information provided by the User may be processed, analyzed, and used by TeqID for purposes of operating the platform, generating recommendations, improving services, and providing functionality in accordance with the Terms of Use and Privacy Policy.
TeqID reserves the right, at any time and at its sole discretion, to modify, limit, suspend, or discontinue any part of the platform, its functionality, or services in accordance with applicable law and these Terms of Use.
TeqID does not act as an employer, employment agency, or staffing provider and does not guarantee employment, hiring, engagement, or business relationships between Users and third parties.
11. No Use by Minor
TeqID is intended solely for use by individuals who are at least 18 years old. By accessing or using TeqID, You represent and warrant that You are at least 18 years of age and have the full legal capacity, right, and authority to enter into and comply with these Terms of Use. If You are under 18 years of age, You must not access or use TeqID. The Company reserves the right to suspend or terminate access to TeqID if it becomes aware that a User does not meet the age requirements set out in this section.
12. Indemnification
The User agrees to indemnify, defend, and hold harmless the Company, its affiliates, officers, directors, employees, and contractors from and against any claims, demands, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:
the User’s use of TeqID;
violation of these Terms of Use;
provision or use of data without proper rights or legal basis;
infringement of any third-party rights, including data protection or intellectual property rights;
violation of terms applicable to third-party services.
13. Support and Maintenance
The Company may provide support related to the use of TeqID through available communication channels. The Company does not guarantee any specific level of support or maintenance unless otherwise explicitly agreed. The operation of TeqID may be modified, updated, or temporarily limited for technical or operational reasons.
14. Privacy and Cookies
The Company processes Personal Data in accordance with applicable data protection laws, including the General Data Protection Regulation (GDPR).
Processing of data, including Professional Information and other information, is carried out solely for the purpose of providing TeqID functionality.
Further details regarding data processing, user rights, and the use of cookies are set out in the Privacy Policy.
15. Modification of Services
The Company reserves the right, at its sole discretion, to modify, update, limit, or discontinue any part of TeqID at any time.
The Company may, but is not obligated to, notify the User of such changes via:
the platform interface;
email communication;
other available communication channels.
Continued use of TeqID after such changes constitutes acceptance of the updated functionality.
16. Modification of Terms
The Company reserves the right to modify these Terms of Use at any time.
Updated Terms become effective upon publication on the Site or within the Application, unless otherwise specified.
The User is responsible for reviewing the current version of the Terms.
Continued use of TeqID after changes take effect constitutes acceptance of the updated Terms.

17. Arbitration, Class Action Waiver and Applicable Law
PLEASE READ THIS SECTION CAREFULLY. IT MAY SIGNIFICANTLY AFFECT YOUR LEGAL RIGHTS.
By accepting these Terms, you agree that certain disputes between you and the Company shall be resolved exclusively through binding arbitration rather than in court, except as expressly provided herein or required by applicable law. Arbitration means that disputes will be resolved by an arbitrator and not by a judge or jury. The parties expressly waive any right to bring or participate in any class action, collective action, representative action, mass action, private attorney general action, or similar proceeding.
Applicable Law
These Terms, and any dispute, claim, controversy, or cause of action arising out of or relating to these Terms, the Site, the Application, or the relationship between you and the Company, shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.
Covered Disputes
You and the Company agree that any dispute, claim, or controversy arising out of or relating to:
(i) these Terms;
(ii) your access to or use of the Site or the Application;
(iii) your relationship with the Company; or
(iv) any other aspect of the Site, the Application, or related products, services, content, or materials,
shall be resolved exclusively through final and binding arbitration, except for disputes expressly excluded under these Terms or otherwise non-arbitrable under applicable law.
Informal Dispute Resolution
Before initiating arbitration, the party seeking to raise a dispute must first provide written notice describing the nature of the dispute and the relief sought. The parties agree to attempt to resolve the dispute informally and in good faith for at least thirty (30) days following receipt of such notice before commencing arbitration proceedings.
Compliance with this informal dispute resolution process is a condition precedent to initiating arbitration. Any applicable limitation periods shall be tolled during the informal dispute resolution process.
Arbitration Procedures
If the dispute is not resolved informally, either party may commence binding arbitration administered by the London Court of International Arbitration in accordance with the LCIA Arbitration Rules in force at the time the arbitration is initiated.
The arbitration shall:
(i) be conducted in London, England;
(ii) be conducted in the English language;
(iii) be conducted before a single arbitrator unless otherwise agreed in writing by the parties or required by applicable arbitration rules; and
(iv) remain confidential to the fullest extent permitted by applicable law.
The arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement, including any claim that all or any part of this arbitration agreement is void or voidable, except that courts of competent jurisdiction may determine the enforceability of the Class Action Waiver set forth below.
The arbitrator may award any remedy available under applicable law on an individual basis only. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Arbitration hearings may be conducted remotely by videoconference unless otherwise agreed by the parties in writing.
Fees and Attorneys’ Fees
Each party shall bear its own attorneys’ fees, legal costs, expert fees, and other expenses associated with the arbitration unless otherwise required by applicable law or awarded by the arbitrator.
The arbitrator shall have authority to award arbitration costs, reasonable attorneys’ fees, and other related expenses to the prevailing party where permitted by applicable law or the applicable arbitration rules.
Class Action Waiver
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL CLAIMS AND DISPUTES MUST BE BROUGHT SOLELY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLAIMANT, OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, CONSOLIDATED, OR MASS PROCEEDING.
You and the Company expressly waive any right to:
(i) bring or participate in any class action, collective action, representative action, mass action, or private attorney general action;
(ii) act in a representative capacity on behalf of the general public or any other person; or
(iii) consolidate claims involving multiple individuals.
The arbitrator shall have no authority to conduct or preside over any class, collective, representative, consolidated, or mass proceeding.
If any part of this Class Action Waiver is found unenforceable with respect to a particular claim or request for relief, then such claim or request for relief shall proceed exclusively before courts of competent jurisdiction located in London, England, and the remaining provisions of this Section shall remain enforceable to the fullest extent permitted by law.
Limitations to this Agreement to Arbitrate
This Section (Arbitration and Class Action Waiver) shall be limited as follows:
Intellectual Property Claims. Either party may bring an action on an individual basis (and not as part of a class, collective, or representative action) before a court of competent jurisdiction to protect its patents, copyrights, moral rights, trademarks, trade secrets, confidential information, and other intellectual property rights, but not privacy or publicity rights, except where otherwise required by applicable law.
Small Claims Court. Either party may seek relief on an individual basis (and not as part of a class, collective, or representative action) in a court authorized to hear small claims or minor disputes, provided that such dispute falls within the jurisdictional limits of that court.
Confidentiality
All arbitration proceedings, including all documents, evidence, materials, submissions, hearings, and awards, shall be strictly confidential and shall not be disclosed to any third party except:
(i) as required by law;
(ii) as necessary to enforce or challenge an arbitration award; or
(iii) to legal advisors, auditors, insurers, or professional representatives who are subject to confidentiality obligations.
Survival
This Arbitration Agreement and Class Action Waiver shall survive termination of these Terms and termination of your relationship with the Company.
